VERITY LLC – TERMS AND CONDITIONS & SMS TERMS OF SERVICE

PART I – GENERAL TERMS AND CONDITIONS

1. Agreement Overview

These Terms and Conditions (“Agreement”) govern the use of services provided by Verity LLC (“Verity,” “Company,” “we,” or “us”).

By purchasing or using Verity’s AI receptionist services (“Services”), the client (“Client,” “you”) agrees to be bound by this Agreement.

2. Services Provided

Verity provides an AI-powered receptionist system that answers missed calls, captures caller information,

and may integrate with third-party tools (e.g., CRM systems, calendars, automation platforms).

3. Service Plans & Billing Structures

Verity offers multiple service plans, which may include annual, short-term commitment, or month-to-month structures.

Specific pricing, fees, and billing terms are outlined separately in the Client’s service agreement, invoice, or order form.

By selecting a plan, Client agrees to the applicable billing structure, including any minimum commitment periods and renewal terms.

4. Usage Fees

All plans incur $0.13 per minute usage, billed monthly in arrears.

5. Setup & Onboarding

Onboarding period: 5 calendar days from purchase

Refund Clause:
If additional required integration costs are disclosed during onboarding and declined,

a full refund will be issued if cancellation occurs within the onboarding period.

6. Additional Costs & Integrations

Third-party tools (e.g., Zapier, Make.com, CRM integrations) may incur additional costs

All such costs must be disclosed and agreed upon before implementation

Client is responsible for third-party fees

7. Taxes

New Mexico sales tax applies to recurring charges (Months 2+)

Taxes are non-refundable, except where required by law

8. Cancellation & Termination

Month-to-Month:

Cancel anytime with 30 days’ notice

90-Day Offer:

3-month minimum commitment required

Annual Plan:

Non-cancellable and non-refundable once active

9. Refund Policy

Setup fees are non-refundable after onboarding

Refunds only available within the 5-day onboarding window

Usage charges are non-refundable

10. Service Limitations

No guarantee of business outcomes

Not liable for failures caused by third-party systems

11. Client Responsibilities

Client agrees to:

Provide accurate information

Maintain required third-party accounts

Comply with applicable laws

12. Modifications

Verity may update these Terms at any time. Continued use constitutes acceptance.

13. Limitation of Liability

Verity is not liable for indirect or consequential damages,

including lost revenue or missed opportunities.

14. Governing Law

Governed by the laws of the State of New Mexico.

PART II – SMS (A2P) TERMS OF SERVICE

15. Acceptance of SMS Terms

By accessing or using Verity’s services, website, or SMS communications,

you agree to these SMS Terms in addition to the General Terms above.

16. SMS Program Description

Verity may send SMS messages including, but not limited to:

Service updates

Appointment reminders

Account notifications

Operational or business-related communications

17. Opt-In & Opt-Out

By opting in, you agree to receive SMS messages from Verity.

Reply STOP to opt out at any time

A final confirmation message may be sent after opting out

Reply HELP for assistance

18. Message & Data Rates

Message and data rates may apply based on your mobile carrier plan.

19. Carrier Disclaimer

Mobile carriers are not liable for delayed or undelivered messages.
